1. Acceptance of Terms and Eligibility

By downloading, installing, or accessing the Vyapar Sathi mobile application, you express your irrevocable intent to be bound by this Master Service Agreement (MSA) under the Indian Contract Act, 1872. This application is designed specifically for professional business management, inventory tracking, and accounting.

Eligibility Criteria: You must possess the full legal capacity to enter into a binding contract. You agree to provide accurate and truthful information during registration; the creation of fraudulent "Vyapar IDs" or impersonating other businesses is a direct breach of this agreement and will result in immediate permanent termination of your access without prior notice.

2. Subscription Tiers and Token Economy

Vyapar Sathi operates on a non-cumulative token economy to power Kuber ODI and advanced Gemini Business Insights. These tokens represent computational resources consumed by the AI and hold no monetary value outside the application ecosystem.

3. Refund Policy: The 15-Day Integrity Rule

We believe in 100% transparency regarding our digital products. A full refund for any premium subscription is available under the following strict conditions:

• The Condition: A refund is only possible if the AI Token balance for the current billing cycle is 100% unused. If even a single token has been consumed for voice billing or Kuber AI, no refund shall be issued.
• The Window: The refund request must be formally submitted to our support team at help@vyaparsathi.co.in within 15 calendar days of the purchase date.
• The Process: Once approved, the refund will be processed back to the original source via PhonePe within 7-10 working days.

4. Payment Gateway and No-AutoPay Policy

Vyapar Sathi prioritizes user financial security. We have implemented a strict "No-AutoPay" policy. We do not support auto-debit or automatic subscription renewals. Every subscription cycle must be manually initiated and authorized by the user. If a plan is not renewed, premium features (like high-limit AI tokens) will be suspended, but your existing offline data remains accessible for basic use.

5. Data Portability and Proprietary Formats

Your business data belongs to you. Vyapar Sathi provides unique tools for data export, though some formats are application-specific:

• .bzip Format: A proprietary encrypted backup format containing your entire ledger. This format can only be restored through the Vyapar Sathi app for security reasons.
• .binv Format: Specifically designed for inventory portability, allowing users to sync stock data across multiple devices.
• Excel/PDF Export: GSTR reports and bill summaries can be exported in standard Excel formats for audit and professional accounting purposes.

6. Staff Granularity and Admin Control

The primary Administrator (Proprietor) holds absolute sovereign control over the business account. Admins have the power to grant or revoke specific permissions for staff IDs, including Purchase Entry, Order Management, and Ledger views.

Administrators are solely responsible for the actions of their staff members. Vyapar Sathi and Manish Kumar Gupta assume no liability for errors or financial losses caused by a staff member acting within the permissions granted by the Proprietor.

7. GSTR Parity and Tax Accuracy Disclaimer

Vyapar Sathi's report generation logic (GSTR-1, GSTR-3B) mirrors standard accounting software like Tally. While we strive for 100% accuracy, Vyapar Sathi is a business facilitation tool, not a government-authorized tax auditing firm. Users are advised to manually verify reports and consult with a Qualified Chartered Accountant (CA) before filing taxes.

8. Intellectual Property and Brand Protection

The brand name "Vyapar Sathi", the "Kuber ODI" technology, and our unique source code are the exclusive intellectual property of Manish Kumar Gupta. Unauthorized use of the "Vyapar Sathi" name for commercial promotion or reverse-engineering our proprietary formats is a violation of law and will result in a permanent ban.

9. Governing Law and Jurisdiction

This Master Service Agreement shall be governed by the laws of the Republic of India. In the event of any legal dispute, the parties irrevocably agree that the courts in Ballia, Uttar Pradesh, India shall have exclusive jurisdiction.
